ABS-CBN Signs P10 Billion Syndicated Term Loan Agreement

Taking advantage of prevailing low interest rates and its stronger financial performance in recent years, ABS-CBN Corporation, the country’s largest multimedia conglomerate, today signed a P10 billion syndicated term loan agreement to refinance existing debt as well as fund planned capital expenditures and general working capital requirements.

Bank of the Philippine Islands, Banco de Oro , Security Bank, Insular Life, Allied Bank and AlliedBank Savings, and PNB and PNB Life funded the loan.

The loan agreement was signed by President & COO Ma. Rosario Santos-Concio and Chief Finance Officer Rolando P. Valdueza for ABS-CBN. In his closing remarks, Mr. Valdueza thanked the participating lenders for their continuing confidence in ABS-CBN, and for their support of the Company’s business and financial prospects. “The oversubscribed order book for our debt refinancing and new debt is a clear manifestation of how our partnership has grown over the years,” he said.

Of the P10 billion total loan amount, P6.6 billion will go toward refinancing existing debt, while the remainder of P3.4 billion in new debt will help fuel the Company’s continuing growth. The new debt is intended for planned capital expenditures in digital terrestrial TV infrastructure and the continuing expansion requirements for cable TV and other services.

The loan was structured as an unsecured and unsubordinated bullet and partly amortizing loan maturing in 2017, priced at a 65 basis points spread over the 7-year PDST-F benchmark for the fixed rate portion of the loan, and over the 3-month PDST-F for the floating rate portion. Consequently, ABS-CBN’s effective interest cost on all its interest-bearing debt goes down by about two percentage points, from which the Company expects to generate savings in annual interest expenses of about P92 million. Apart from the savings that will be generated, the new loan agreement also incorporates more relaxed covenants.

BPI Capital Corporation acted as Lead Arranger and Sole Book-runner for the transaction. BDO Capital and Security Bank acted as loan arrangers, while PNB Capital and Insular Life were co-arrangers. BPI’s Asset Management and Trust Group will serve as the loan’s facility agent.

  33. I’m a business major and loaning doesn’t necessarily mean that the corporation is insolvent.. Loaning is healthy for the business because of the tax privilege (loans payable are deductible in computing for income tax) and means of expansion. It also shows that the company is doing well financially because the banks are confident in giving out the loan to the corporation because it has a good repayment capacity. walang malaking corporation ang hindi nangungutang! ang GMA may utang din! so sa mga kapuso na walang alam sa business management, maaaring tumahimik na lang at huwag magdunung-dunongan!

    GMA NETWORK Inc. posted a 26-percent drop in profit in the third quarter of the year from a year ago, following the decline in air time revenues with the absence of political advertisements that boosted earnings in the same period last year.

    The company on Thursday announced that profit dropped to P583 million in July to September of 2010 from P788 million in the same quarter last year.

    Gross revenue slipped by 10 percent to P3.3 billion as a result of a 12-percent decline in air time revenue, which made the bulk of the total.

    Officials said the company’s dismal third quarter performance was reflective of the lack of election campaign-related advertisements, which boosted sales in 2009.

    “To be perfectly honest, the third quarter was a disappointment but not a very big one,” GMA chair and CEO Felipe Gozon said in a briefing.
    Gozon explained the company also had to raise its ad rates earlier in the year, which scared some big advertisers away temporarily.

    “As you know, human nature will resist even a reasonable substantial price increase because they used to buying our Mercedes cars for the price of a Honda,” Gozon said.

    Before raising its rates, Gozon said GMA had been earning just as much as its rival ABS-CBN, despite being able to sell tens of thousands of minutes more.

    One advertiser, in particular, even boycotted the company for as long as three months due to the hike in rates. But that advertiser, the identity of which GMA was not at liberty to disclose, has come back and was now buying 80 percent more minutes than it used to before its boycott.

    Despite the decline in the third quarter, the company said it was still on track to meeting or even exceeding its full-year income growth target P3 billion from P2.15 billion in 2009.
